PART A: Master Terms

(apply to all services)


1. Parties and application

1.1 These Terms and Conditions (“Terms”) form a legally binding agreement between:

  • Soulshine by Soulla Ltd (company number 13718169) (“SBS”) in respect of all retreats, in-person retreats, residential retreats, events and workshops (“Retreat Services”), and

  • The Soulshine Way Ltd (company number 12529537) (“TSW”) in respect of all other offerings including 1:1 coaching, online programmes, courses, memberships, digital products and practices (“Non-Retreat Services”),

and you, the customer (“you”, “your”).

1.2 These Terms comprise:

  • Part A: Master Terms (this section), and

  • Schedule 1: Retreats, events, workshops and in-person experiences (SBS), and

  • Schedule 2: Online learning, digital products, courses and practices (TSW).

1.3 Where there is any inconsistency, the relevant Schedule shall prevail.

1.4 You must be at least 18 years old to book or participate.

2. Nature of services

2.1 Our services may include yoga, movement, breathwork, meditation, embodiment, somatic practices, coaching-informed education, reflective inquiry, sound practices and group processes.

2.2 Unless explicitly stated otherwise in writing, our services are not medical, psychiatric or therapeutic treatment and do not replace professional medical or mental health care.

2.3 You are responsible for seeking medical advice where appropriate and for ensuring your participation is suitable for your physical and psychological condition.

3. No guarantee and no reliance

3.1 We do not guarantee any particular outcome, result, healing, insight, transformation or change.

3.2 You confirm that you have not relied on any statement, testimonial, marketing material, verbal explanation or informal communication other than the written description of the relevant service “(and any written FAQs/policies on our website) when deciding to book or participate.

4. Health responsibility and participation

4.1 You confirm that you are physically and psychologically able to participate safely.

4.2 You agree to disclose relevant medical conditions, injuries, pregnancy, medications or other factors that may affect safe participation.

4.3 You agree to follow all reasonable instructions and to stop any activity immediately if you feel unwell or unsafe.

4.4 We reserve the right, acting reasonably, to restrict or refuse participation in any activity where safety is a concern.

5. Assumption of risk

5.1 Participation involves inherent risks, including the risk of injury, illness or psychological distress.

5.2 You voluntarily assume these risks.

5.3 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud or any liability that cannot be excluded under law.

6. Emotional and psychological responses

6.1 You acknowledge that reflective, somatic and breath-based practices may give rise to emotional or psychological responses including discomfort, fatigue, emotional release or temporary distress.

6.2 Except where caused by our negligence, we are not liable for claims arising solely from emotional or psychological responses experienced during or after participation.

7. Conduct, safety and removal

7.1 You agree to behave respectfully and safely at all times.

7.2 We may refuse entry, restrict participation or require you to leave (without refund) where your conduct, condition or behaviour creates risk, disruption or breach of these Terms.3.2

7.3 You are responsible for any damage you cause to property or persons.

8. Refusal of future participation

We reserve the right to refuse future bookings or participation at our discretion where prior conduct, safety concerns or legal risk make future participation inappropriate. We are not obliged to provide reasons.

9. Third-party providers

9.1 Some services may involve independent third-party providers including venues, accommodation providers, chefs, facilitators, therapists, guides, transport providers or technical platforms.

9.2 Such providers act as independent contractors. We are not responsible for their acts or omissions except where required by law.

9.3 We may substitute providers where reasonably necessary.

10. Photography, recordings and media

10.1 We may take photographs, video or audio recordings for legitimate business purposes including marketing and documentation.

10.2 If you do not wish to appear in identifiable media, you must notify us in writing before the service begins.

10.3 You must not record or distribute sessions unless explicitly permitted.

11. Intellectual property

11.1 All materials remain our intellectual property or licensed to us.

11.2 You are granted a personal, non-transferable licence for personal use only.

11.3 You must not reproduce, distribute, share, teach or commercially exploit materials without written permission.

12. Confidentiality

12.1 We treat personal information shared with sensitivity.

12.2 You agree to maintain confidentiality of other participants’ personal sharing.

12.3 Disclosure may occur where required by law or where there is a credible risk of serious harm.

13. Data protection

We process personal data in accordance with UK GDPR and the Data Protection Act 2018. Our Privacy Policy forms part of these Terms.

14. Payments and administrative fees

14.1 Fees are payable as stated at point of sale.

14.2 Where refunds, credits or transfers are offered, we may deduct reasonable administrative, processing and transaction costs.

15. Force majeure

15.1 A Force Majeure Event includes events beyond our reasonable control including pandemics, epidemics, COVID-19 variants, government restrictions, travel bans, venue closures, extreme weather, wildfires, flooding, infrastructure failure or supplier failure.

15.2 Where a Force Majeure Event occurs, we may modify, postpone, relocate or cancel services in accordance with the relevant Schedule.

16. Limitation of liability

16.1 Except where liability cannot legally be excluded, our total liability is limited to the amount you paid for the relevant service.

16.2 We are not liable for indirect or consequential loss including loss of enjoyment, travel costs or third-party expenses.

17. Indemnity

You agree to indemnify and hold harmless SBS and TSW against claims, losses or costs arising from your acts, omissions or breach of these Terms.

18. Severability and survival

If any provision is found unenforceable, the remainder shall continue in force. Clauses relating to liability, indemnity, intellectual property, confidentiality and governing law survive termination.

19. Governing law and language

19.1 These Terms are governed by the laws of England and Wales.

19.2 The English version prevails over any translation.

SCHEDULE 1: Retreats, events and in-person experiences (SBS)

1. Booking and payment

A booking is confirmed only on receipt of payment and written confirmation. Deposits are non-refundable unless stated otherwise.

2. Cancellation by you

Unless otherwise stated:

  • Deposit: non-refundable

  • Cancellation more than 10 weeks before start: liable for 50% of total fee

  • Cancellation within 10 weeks: liable for 100% of total fee

No refunds for no-shows, late arrival or early departure.

3. Pre-event suitability and exclusion

We may refuse participation or cancel a booking prior to start where participation may be unsafe or unsuitable. A refund may be offered minus non-recoverable costs.

4. Changes by us and venue changes

We may change schedules, facilitators or venues. Venue changes to a comparable standard do not entitle you to a refund.

5. Force majeure and public health

Where delivery is affected, we may offer rescheduling, credit, alternative delivery or refund of fees paid. Travel costs are not refundable.

6. Extreme environmental conditions

Extreme heat, wildfires, flooding, air quality issues or evacuation advisories may require modification of activities or location without refund.

7. Travel insurance

Travel insurance is mandatory for retreats involving travel and must cover medical care, cancellation and the activities undertaken.

SCHEDULE 2: Online programmes, course and practices (TSW)

1. Access

Access is provided digitally. You are responsible for technical capability.

2. Refunds

Digital products are non-refundable once accessed. Live programmes and memberships are subject to the terms stated at purchase.

3. Safety disclaimer

You practise at your own risk and must stop if unwell. Seek medical advice where appropriate.

4. Coaching boundary

Online and group offerings are educational and supportive, not therapy. Separate 1:1 contracts prevail where applicable.
